Terms and Conditions

These terms govern access to and use of the Zybots website, application, AI assistants, widgets, dashboards, APIs, integrations, documentation, subscriptions, and related services.

1. Definitions

These Terms and Conditions govern access to and use of the Zybots website, application, AI assistants, widgets, dashboards, APIs, integrations, documentation, subscriptions, and related services. Zybots is operated by GLOSOFT SOLUTIONS SRL, a company registered in Romania, with registered office at Str. Turda, nr. 98, bl. 29A, sc. 2, et. 8, ap. 26, Sector 1, Bucharest, Romania, registered with the Trade Register under no. J2017000654526, VAT / tax ID RO38032549 / CUI 38032549.

By creating an account, accessing the platform, subscribing to a plan, using the widget, using our APIs, or otherwise using Zybots, you agree to these Terms. If you use Zybots on behalf of a company or other legal entity, you confirm that you are authorized to bind that organization to these Terms. If you do not agree to these Terms, you must not use Zybots.

  • "Zybots", "we", "us", or "our" means GLOSOFT SOLUTIONS SRL and the Zybots product, depending on context.
  • "Customer", "you", or "your" means the person or organization using Zybots.
  • "Workspace" means the environment inside Zybots where customers manage bots, team members, billing, settings, conversations, leads, API keys, and integrations.
  • "Bot" or "AI Assistant" means an AI-powered assistant configured by a customer inside Zybots.
  • "Widget" means the embeddable Zybots chat interface installed on a customer website or application.
  • "End User" means a website visitor, customer, prospect, user, or other person who interacts with a bot deployed by a customer.
  • "Customer Content" means content, data, URLs, documents, files, instructions, prompts, Q&A pairs, corrections, API data, website content, training sources, and other materials submitted, uploaded, connected, or processed by you through Zybots.
  • "Customer Data" means Customer Content and any data generated through your use of Zybots, including conversations, leads, analytics, configuration, metadata, usage logs, and integration data.
  • "AI Output" means text, answers, recommendations, summaries, classifications, actions, or other content generated by or through the AI assistant.
  • "Subscription Plan" means the free or paid plan selected by you, including its features, limits, billing period, and pricing.
  • "AI Actions" means configured integrations or operations that allow a bot to interact with third-party tools, APIs, or workflows.

2. Service description

Zybots provides website-trained AI assistants and related SaaS tools for customer support, sales conversations, lead capture, appointment booking, ecommerce assistance, analytics, omnichannel communication, workflow automation, and similar business uses.

The service may include hosted dashboards, AI chat widgets, website and sitemap training, document, text, Q&A, and correction training, conversation history, lead capture, analytics, public APIs, workspace and team features, AI Actions, third-party integrations, omnichannel messaging, billing and subscription management, documentation, and support.

Features may vary by plan, region, language, account type, integration availability, or product version. We may add, modify, restrict, or discontinue features as the platform evolves. Zybots is not designed to replace professional human judgment in medical, legal, financial, emergency, safety-critical, employment, credit, insurance, law enforcement, or other high-risk contexts.

3. Account registration and security

To use certain features, you must create an account. You are responsible for all activity under your account, workspace, API keys, integrations, and deployed widgets, unless the activity is caused by our breach of these Terms or applicable law.

We may require email verification, payment verification, domain allowlisting, manual review, or other security checks before enabling certain features.

  • Provide accurate, current, and complete account information.
  • Keep login credentials, API keys, and workspace access secure.
  • Ensure that all users invited to your workspace comply with these Terms.
  • Promptly update billing, tax, and contact details.
  • Notify us immediately if you suspect unauthorized access or misuse.

4. Eligibility and authority

You must be at least 18 years old or have legal capacity under applicable law to use paid services. If you create an account or subscribe on behalf of a company, agency, client, or organization, you confirm that you have authority to accept these Terms on its behalf.

  • The organization is responsible for your use of Zybots.
  • Billing and account information provided by you is accurate.
  • You will not use Zybots for unauthorized client work or impersonation.

5. Plans, subscriptions, billing, and taxes

Zybots may offer free plans, monthly subscriptions, yearly subscriptions, enterprise plans, add-ons, or usage-based features where clearly disclosed. The features, limits, and prices of each plan are shown on the pricing page, checkout page, in-app billing area, order form, or written agreement.

Unless otherwise stated, paid subscriptions are billed in advance, monthly plans renew monthly, yearly plans renew yearly, and paid plans renew automatically until cancelled. You authorize us and our payment processors to charge your selected payment method for subscription fees, renewals, upgrades, add-ons, usage charges where disclosed and accepted, and applicable taxes.

For customers in Romania or the European Union, prices shown to consumers include VAT where applicable, unless clearly stated otherwise. For business customers, VAT treatment may depend on billing country, VAT status, reverse-charge rules, and the information provided during checkout. You are responsible for ensuring that billing, tax, company, and VAT information is accurate.

6. Automatic renewal and cancellation

Paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription from the billing area of the platform or by contacting support if in-app cancellation is unavailable.

Cancellation normally takes effect at the end of the current billing period. You will continue to have access to the paid plan until the end of the paid period, unless your account is suspended or terminated for breach, fraud, security risk, chargeback, or legal reasons.

Deleting a widget, bot, workspace, or integration does not automatically cancel your paid subscription. You must cancel the subscription through the billing flow or by contacting support.

7. Upgrades, downgrades, and plan limits

You may upgrade or downgrade your plan depending on available billing options. Upgrades may take effect immediately and may result in prorated charges. Downgrades may take effect at the end of the current billing period unless otherwise stated.

Each plan may include limits such as number of bots, team members, AI credits, training characters, sources or pages, AI Actions, custom forms, widget domains, API access, integrations, analytics or conversation retention, export availability, and rate limits.

If you exceed plan limits, we may restrict features, throttle usage, require an upgrade, charge applicable usage fees if disclosed and accepted, or temporarily pause related functionality.

8. Failed payments, chargebacks, and unpaid amounts

If a payment fails, is reversed, is disputed, or becomes overdue, we may retry the payment method, notify you by email or in-app message, suspend or limit access to paid features, downgrade your account, disable widgets, APIs, integrations, or AI Actions, terminate the subscription if payment remains unresolved, and recover unpaid amounts where legally permitted.

You remain responsible for all amounts due for services already provided. Chargebacks or payment disputes made without first contacting us may result in suspension of the account while the dispute is reviewed.

9. Refunds and right of withdrawal

Refunds are governed by our Refund and Cancellation Policy, any plan-specific terms, and applicable consumer protection law. Unless required by law or expressly stated in writing, fees for active subscriptions are non-refundable, partial months or unused periods are not refunded after cancellation, and setup fees, custom work, enterprise onboarding, and usage-based fees may be non-refundable.

For consumers in the European Union, the legal right of withdrawal may apply to certain distance contracts. However, where digital services or digital content begin with the consumer's prior express consent and acknowledgement that the right of withdrawal may be lost once performance begins, the right of withdrawal may no longer apply to the extent permitted by law.

Where applicable, we will provide the legally required pre-contractual information and confirmation of the contract. Business customers purchasing for professional or commercial purposes may not benefit from consumer withdrawal rights.

10. Customer content and permissions

You retain ownership of your Customer Content. You grant Zybots a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, analyze, transform, and otherwise use Customer Content only as necessary to provide and maintain the service.

This includes training, retrieving, or processing knowledge for your bots, generating AI Outputs, operating widgets, APIs, integrations, analytics, and lead capture, preventing abuse, fraud, and security incidents, complying with legal obligations, and improving reliability, safety, and performance of the service using aggregated or anonymized data where appropriate.

You confirm that you have all rights, permissions, consents, notices, and legal bases needed to submit, connect, upload, scrape, import, or otherwise process Customer Content through Zybots. You are responsible for the accuracy, legality, quality, and appropriateness of Customer Content. You should maintain your own backups of business-critical data.

11. Customer data restrictions

You must not submit, upload, connect, or process data through Zybots if doing so would be unlawful or would require legal, security, or compliance measures that you have not implemented. If your use case involves regulated or sensitive data, you must contact us before using Zybots in production.

  • Payment card data requiring PCI-DSS compliance.
  • Passwords, authentication secrets, or private keys.
  • Government identification documents unless strictly necessary and lawful.
  • Sensitive personal data without a valid legal basis and appropriate safeguards.
  • Health data, patient data, or medical records requiring special compliance measures.
  • Children's personal data where parental consent or other protections are required.
  • Illegal, infringing, fraudulent, deceptive, or harmful content.

12. AI outputs and customer responsibility

Zybots uses AI models, retrieval systems, prompts, integrations, and customer-provided content to generate responses and perform actions. You acknowledge that AI Outputs may be incomplete, inaccurate, outdated, offensive, unsuitable, or inappropriate in some contexts.

You are responsible for configuring your bots properly, testing bots before production use, reviewing AI Outputs where appropriate, setting safe fallback and handoff behavior, ensuring that bots do not provide prohibited advice, ensuring that AI Outputs comply with your legal, industry, consumer protection, and data protection obligations, and monitoring deployed bots and correcting weak or incorrect answers.

Zybots does not guarantee that AI Outputs will be error-free, legally compliant for your specific use case, commercially successful, or suitable for high-risk decisions. You must not present AI Outputs as professional medical, legal, financial, emergency, or safety advice unless reviewed and approved by appropriately qualified professionals and permitted by law.

13. AI transparency and end-user disclosure

You must clearly inform End Users when they are interacting with an AI assistant where required by applicable law. You must not hide, remove, obscure, or modify AI transparency notices in a way that misleads End Users into believing they are interacting with a human.

You must not configure bots to impersonate real persons, public authorities, employees, medical professionals, lawyers, financial advisors, or other regulated professionals unless you have lawful authorization and the interaction remains transparent.

Zybots may enforce mandatory AI disclosure labels, widget notices, or other transparency features. You are responsible for ensuring that your deployment of Zybots complies with applicable AI transparency, consumer protection, advertising, data protection, and sector-specific rules.

14. Lead capture, conversations, and end-user notices

If you use Zybots to capture leads, collect contact details, record conversations, or analyze End User interactions, you are responsible for providing appropriate privacy notices and obtaining any required consents on your own website, application, or channels.

You must clearly explain, where required, that an AI assistant is being used, what data is collected, why data is collected, who controls the data, how users can contact you, whether conversations are stored, whether data is shared with Zybots or third-party providers, and how users can exercise privacy rights.

Zybots may provide technical tools, but you remain responsible for the lawful operation of your own websites, campaigns, widgets, and customer communications.

15. Acceptable use

You may use Zybots only for lawful purposes and in accordance with these Terms. We may investigate and restrict accounts that appear to violate this section.

  • Do not violate any law, regulation, court order, or third-party right.
  • Do not send spam, unsolicited communications, or abusive messages.
  • Do not conduct phishing, fraud, impersonation, scams, or social engineering.
  • Do not distribute malware, harmful code, or security exploits.
  • Do not generate or facilitate illegal, hateful, abusive, deceptive, or infringing content.
  • Do not mislead users about whether they are interacting with AI.
  • Do not scrape, crawl, or import content without authorization.
  • Do not overload, disrupt, probe, scan, or attack the service.
  • Do not bypass rate limits, usage limits, payment restrictions, or security controls.
  • Do not create multiple accounts to avoid limits or enforcement.
  • Do not reverse engineer, decompile, copy, clone, or build a competing hosted service using Zybots.
  • Do not resell Zybots as a standalone competing platform without written permission.
  • Do not use Zybots for high-risk automated decisions affecting legal rights, employment, credit, healthcare, insurance, housing, education access, law enforcement, or similar areas without proper legal review and safeguards.

16. Third-party services and integrations

Zybots may integrate with third-party services such as AI model providers, cloud infrastructure providers, payment processors, analytics tools, messaging platforms, ecommerce platforms, calendar tools, support tools, email providers, and custom APIs. Examples may include Stripe, Google, Meta, Shopify, WooCommerce, Calendly, Cal.com, Slack, Zendesk, OpenAI, Gemini, hosting providers, database providers, email providers, or other services depending on your configuration.

Third-party services are not controlled by Zybots, may require separate accounts or acceptance of separate terms, may change, suspend, or discontinue their APIs, may have their own fees, limits, privacy practices, and compliance requirements, and may experience downtime or errors.

We are not responsible for failures, downtime, data issues, policy changes, or fees caused by third-party services, except where required by law or expressly agreed in writing. You are responsible for ensuring that your use of third-party integrations complies with the relevant provider terms.

17. AI Actions and custom APIs

AI Actions may allow bots to retrieve information, send data, trigger workflows, create tickets, book appointments, call APIs, or perform other configured operations.

You are responsible for configuring actions correctly, limiting actions to appropriate use cases, validating inputs and outputs, securing API keys, tokens, endpoints, and credentials, ensuring that actions do not expose confidential or personal data unlawfully, testing actions before production deployment, and monitoring action logs and results.

Zybots is not responsible for damage caused by incorrectly configured external systems, unsafe API endpoints, invalid credentials, third-party outages, or customer-created workflows. We may disable actions that create security, abuse, operational, legal, or reputational risk.

18. Public APIs and rate limits

If your plan includes API access, we grant you a limited, revocable, non-exclusive, non-transferable right to use the API according to the Documentation and your plan limits.

You must not exceed published or communicated rate limits, share API keys publicly, use API keys from unauthorized environments, use the API to overload or disrupt Zybots, use the API to create a competing service, or bypass billing, limits, security, or access controls.

We may rotate, revoke, throttle, or suspend API keys where needed for security, abuse prevention, non-payment, or platform stability.

19. Widget deployment and domains

You may deploy the Zybots widget only on websites, applications, or domains that you own, control, or are authorized to manage.

You are responsible for configuring allowed domains, ensuring that widget installation complies with website terms and privacy notices, informing End Users where required, maintaining accurate bot configuration, removing the widget when your subscription ends or when you no longer have authorization to use it, and ensuring that embedded widgets do not mislead End Users.

We may restrict widget deployment on suspicious, abusive, illegal, infringing, or unauthorized domains.

20. Intellectual property

Zybots, including the platform, software, source code, interfaces, designs, workflows, models, prompts, system architecture, documentation, trademarks, logos, and brand assets, is owned by or licensed to GLOSOFT SOLUTIONS SRL.

Except for the limited right to use Zybots during an active plan, these Terms do not transfer any intellectual property rights to you. You must not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from Zybots except where expressly permitted by law or by written agreement. You retain ownership of Customer Content.

21. Feedback and aggregated data

If you send us ideas, suggestions, bug reports, feature requests, comments, or other feedback, you grant us a perpetual, worldwide, royalty-free right to use that feedback to improve Zybots without obligation to compensate you. We will not intentionally disclose your confidential business information when using feedback.

We may collect and use aggregated or anonymized data that does not identify you, your End Users, or any individual, for purposes such as service analytics, platform security, product improvement, benchmarking, performance monitoring, abuse prevention, feature development, and marketing statistics.

22. Privacy and data protection

Our processing of personal data is described in our Privacy Policy, Cookie Policy, GDPR Policy, and, where applicable, Data Processing Agreement.

Depending on the data and use case, you may act as controller for End User data, Zybots may act as processor for data processed on your instructions, and Zybots may act as controller for account, billing, security, analytics, and business relationship data.

If you use Zybots for End User conversations, leads, widget tracking, or integrations, you are responsible for your own privacy notices, lawful basis, consents, data subject request handling, and compliance with applicable data protection laws. If a Data Processing Agreement is required, you must review and accept our DPA or contact us before using Zybots with personal data in production.

Data Processing Agreement

When Zybots processes Personal Data on behalf of a Customer, the Zybots Data Processing Agreement applies and forms part of these Terms.

By creating an account, subscribing to a plan, deploying a widget, using the API, connecting integrations, or otherwise using Zybots to process Personal Data on behalf of your business, you agree to the Data Processing Agreement available at https://www.zybots.ai/en/data-processing-agreement.

Enterprise customers may request a signed copy or a separately negotiated data processing agreement.

23. Security and confidentiality

We use reasonable technical and organizational measures designed to protect the service. However, no online service is completely secure. You are responsible for using strong passwords, protecting workspace access, limiting team permissions, securing API keys and integration credentials, reviewing user access periodically, notifying us of suspected security incidents, and avoiding upload of unnecessary sensitive data.

Each party may receive non-public business, technical, financial, product, security, pricing, customer, or operational information from the other party. The receiving party must protect confidential information using reasonable care, use it only to perform or receive the services, limit access to people who need to know it, and not disclose it to third parties except as permitted by these Terms, law, or written agreement.

Confidentiality does not apply to information that is publicly available, already known without restriction, independently developed, lawfully received from another source, or required to be disclosed by law. Confidentiality obligations survive termination for three years, except for trade secrets, which remain protected as long as they qualify as trade secrets under applicable law.

24. Support, maintenance, availability, and beta features

Zybots will use commercially reasonable efforts to keep the service available and functional. However, we do not guarantee uninterrupted availability unless a separate written SLA applies.

The service may be unavailable or degraded due to scheduled maintenance, emergency maintenance, infrastructure issues, third-party provider outages, internet or DNS failures, abuse prevention, security incidents, legal or regulatory requirements, or force majeure events. Enterprise customers may receive separate support, availability, or SLA commitments through a written agreement.

We may offer beta, preview, experimental, or early-access features. These features may be incomplete, contain bugs, change without notice, be discontinued, have lower reliability, or not be covered by the same support commitments as stable features. You use beta features at your own risk.

25. Service changes and discontinuation

We may update, improve, modify, restrict, replace, or discontinue features. Where a material change negatively affects an active paid plan, we will try to provide reasonable notice where practical.

We may discontinue the entire service or a major product line with reasonable notice. If we discontinue a paid service before the end of a prepaid billing period and the discontinuation is not caused by your breach, we may provide a pro-rated refund for the unused portion where required by law or commercially appropriate.

26. Suspension and termination

We may suspend, restrict, or terminate your access immediately if you breach these Terms, fail to pay amounts due, create security, legal, abuse, operational, or reputational risk, misuse free plans, create duplicate accounts to avoid limits, use content or bot behavior that is unlawful or harmful, violate third-party platform rules in a way that affects Zybots, are involved in fraud, spam, phishing, malware, or deceptive activity, or if we are required to do so by law, court order, regulator, platform provider, or payment processor.

Where practical, we may provide notice and an opportunity to cure. We are not required to provide notice where doing so would create risk, violate law, or interfere with investigation.

You may stop using Zybots at any time and may cancel paid subscriptions according to the cancellation process described in the platform or billing portal. Termination or cancellation does not relieve you of payment obligations already incurred. If you terminate an account or subscription, you are responsible for exporting any data you need before access ends.

27. Effect of termination

After termination or expiration, your right to access and use Zybots ends, widgets, APIs, AI Actions, integrations, and bots may stop working, unpaid fees become due, and we may delete or restrict Customer Data according to our retention policies.

We may retain data required for billing, tax, accounting, security, fraud prevention, dispute handling, legal compliance, and backup retention. Provisions that by their nature should survive will survive, including payment obligations, intellectual property, confidentiality, data protection, disclaimers, liability limits, indemnity, and dispute provisions.

Customers may request data export where available and technically feasible, subject to plan limits, account status, and legal restrictions.

28. Disclaimers

To the maximum extent permitted by law, Zybots is provided on an "as is" and "as available" basis.

We do not warrant that the service will be uninterrupted, error-free, secure, or always available, that AI Outputs will be accurate, complete, compliant, or suitable for your use case, that the service will meet all business requirements, generate revenue, leads, conversions, rankings, or other commercial results, that third-party integrations will remain available or unchanged, or that all errors or defects will be corrected.

Nothing in these Terms excludes rights that cannot be excluded under applicable consumer protection law.

29. Limitation of liability

To the maximum extent permitted by applicable law, Zybots and GLOSOFT SOLUTIONS SRL will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profit, loss of revenue, loss of data, business interruption, loss of goodwill, loss of opportunity, third-party claims, or cost of substitute services.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to the service will not exceed the amounts paid by you to Zybots for the affected service during the three months before the event giving rise to the claim.

These limitations do not apply where liability cannot be limited under applicable law, including liability for fraud, intentional misconduct, or other non-excludable legal obligations. For consumers, these limitations apply only to the extent permitted by mandatory consumer protection law.

30. Customer indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless GLOSOFT SOLUTIONS SRL, Zybots, and their directors, employees, contractors, suppliers, and affiliates from claims, damages, losses, liabilities, penalties, costs, and expenses arising from your Customer Content, your use or misuse of Zybots, deployed bots, widgets, AI Actions, APIs, or integrations, your breach of these Terms, your violation of law or third-party rights, failure to provide required End User notices or consents, use of AI Outputs, products, services, websites, customer communications, or unauthorized or unlawful data submitted through your account.

We will notify you of claims where legally and practically possible and will cooperate reasonably in the defense.

31. Publicity and customer references

Unless you opt out by contacting us, we may identify your company as a Zybots customer by using your name and logo in customer lists, websites, presentations, or marketing materials. We will not disclose confidential details about your account, usage, pricing, or data without permission. Enterprise customers may have different publicity terms in a written agreement.

32. Electronic communications and changes to these Terms

You agree that we may send service, billing, security, legal, and account communications electronically, including by email, in-app messages, dashboard notices, or website notices. You are responsible for keeping your contact email accurate.

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you, such as by posting a notice on the website, sending email, or displaying an in-app message. If you do not agree to updated Terms, you must stop using Zybots and cancel any subscription before the updated Terms take effect. Continued use after the effective date means you accept the updated Terms.

33. Governing law, jurisdiction, and dispute resolution

These Terms are governed by the laws of Romania, without prejudice to any mandatory consumer protection rights that may apply in the consumer's country of residence.

For business customers, disputes will be submitted to the competent courts of Bucharest, Romania, unless a separate written agreement states otherwise. For consumers, mandatory jurisdiction and consumer protection rules may apply.

Before starting formal proceedings, both parties agree to try to resolve disputes informally by contacting [email protected]. Consumers may also use applicable alternative dispute resolution resources, including ANPC/SAL where available.

34. Force majeure, assignment, severability, and entire agreement

We are not responsible for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, power outages, internet failures, infrastructure outages, cyberattacks, third-party provider failures, government actions, legal restrictions, or other force majeure events.

You may not assign or transfer your account, subscription, or rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, change of control, or transfer of the Zybots business.

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain in effect. The invalid provision will be interpreted or replaced to achieve the closest lawful commercial purpose.

These Terms, together with any applicable order form, plan terms, Privacy Policy, Cookie Policy, GDPR Policy, DPA, Refund and Cancellation Policy, Acceptable Use Policy, AI Transparency Notice, DSA Notice, and other referenced policies, form the entire agreement between you and Zybots regarding the service. If there is a conflict between these Terms and a signed enterprise agreement, the signed enterprise agreement controls for that customer.

Important note

These Terms are intended to match the current Zybots SaaS model, including AI credits, training limits, widget domains, AI Actions, APIs, add-ons, omnichannel channels, and Stripe-style subscription billing. They may be supplemented by a signed order form, DPA, enterprise agreement, or mandatory legal rights.
